Setting up a company in Morocco: SARL, SA or auto-entrepreneur status

Three legal forms, three levels of liability and of cost. The choice turns on what you stand to lose and on who you will be invoicing, not on the price of setting up.

Setting up a company in Morocco: SARL, SA or auto-entrepreneur status

The questions always come in the same order: how much does it cost, then how long does it take. Those are the two wrong ones to start with. The right one is what you are putting at risk if the business goes badly, and who you are going to sell to.

Auto-entrepreneur status

The lightest of the three: simple registration, reduced bookkeeping, a flat-rate tax on turnover. It is capped at 200 000 dirhams of annual turnover for services and 500 000 dirhams for trading and craft activities.

Its real limit is not a tax one, it is legal: your liability is not separated from your personal assets. Many clients, large companies and government bodies in particular, will not contract with this status at all.

The SARL

This is the commonest form in Morocco. It separates your own assets from the company's, which is the point of it. There is no longer a legal minimum capital — a SARL can be formed with a token amount — but capital set too low gets noticed and weighs against you in a negotiation with a bank.

It can be formed by a single shareholder, in which case it is called a SARL with a sole shareholder. The steps: the name-availability certificate (certificat négatif), articles of association, deposit of the capital, stamping, entry in the commercial register, a tax identifier and CNSS registration.

The SA

For ventures that need to raise money or open up their share capital. Minimum capital of 300 000 dirhams for an unlisted SA, three shareholders at the least, a board of directors and a statutory auditor are compulsory. The governance is heavy; it only makes sense if the financing structure demands it.

What actually costs money

The incorporation fees themselves are modest next to what follows: the annual accounts, the statutory auditor where one is required, the manager's social contributions, and the time spent on filing obligations. An accountant will price a full year for you, not just the formation file.

The mistakes that cost the most

  • Articles copied from a template, with no exit clause between the shareholders
  • A business purpose drawn too narrowly, forcing an amendment at the first contract slightly outside it
  • A 50/50 split with no mechanism for breaking a deadlock
  • Forgetting the manager's CNSS registration, then putting it right with penalties on top
